Terms of Service

1. Introduction

Welcome to impressBox. These Terms of Service ("Terms") govern your access to and use of the impressBox Content Management System (the "Service"), provided by Dėžutė, UAB ("we," "us," or "our"). By registering an account, accessing, or using our Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Definitions

• "Service" means the impressBox cloud-based digital signage platform, APIs, player applications, and related software.
• "Customer Content" means any data, media, videos, images, text, or other material uploaded or managed by the Customer via the Service.
• "User" means any individual authorized by the Customer to access the Service under the Customer's account.
• "Device" or "Screen" means any physical hardware running the impressBox player software connected to the Service.

3. Scope of the Service

impressBox provides a cloud-based content management system for remote deployment, scheduling, and playback of digital media on compatible display devices. The Service includes software updates, server hosting, and administrative interfaces. We reserve the right to modify, add, or remove features of the Service at any time, provided that material degradation of core functionalities will be communicated in advance.

4. Account Registration, Security, and Access

To use the Service, you must register for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to protect your credentials.

5. Subscription, Fees, and Payment

The Service is provided on a subscription basis. Fees are determined by the number of active Devices and the chosen subscription plan. By subscribing, you agree to pay all applicable fees in accordance with the billing terms presented at the time of purchase. Fees are non-refundable except as expressly required by law. We reserve the right to update pricing upon prior notice prior to your next billing cycle.

6. Acceptable Use

You agree not to use the Service to:

• Upload or display content that is illegal, defamatory, obscene, harassing, or violates the intellectual property rights of others.
• Distribute malware, viruses, or any other harmful code.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service for any purpose other than its intended digital signage functionality.

7. Customer Content and Responsibility

You retain all ownership rights to your Customer Content. By uploading Customer Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and distribute the content solely for the purpose of providing the Service to you. You are solely responsible for ensuring you have the necessary rights and permissions to use and display your Customer Content.

8. AI Assistant

impressBox may include AI-powered features (e.g., impressBox Assistant) to aid in content creation or management. These features are provided "as is." AI-generated content or suggestions should be reviewed by you before publication. We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs, and you use them at your own risk.

9. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. If you collect personal data from viewers through the Service (e.g., via interactive microsites), you are the Data Controller, and you must ensure compliance with relevant privacy regulations. We act as a Data Processor on your behalf for such data.

10. Service Availability, Maintenance, and Changes

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable during scheduled maintenance or due to unforeseen technical issues. We will make reasonable efforts to notify you in advance of scheduled downtime. We are not liable for any damages resulting from service interruptions.

11. Intellectual Property and Legal Right to Provide the Service

All intellectual property rights in the Service (excluding Customer Content), including software, designs, logos, and documentation, are owned by Dėžutė, UAB or our licensors. You are granted a limited, non-transferable, revocable right to use the Service as described in these Terms. You may not reverse engineer, decompile, or create derivative works from the Service.

12. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the term of this agreement. Confidential Information does not include information that is publicly known, already known to the receiving party, or independently developed. This obligation survives the termination of these Terms.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Dėžutė, UAB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability for any claims under these Terms shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Dėžutė, UAB, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Service, or any claim that your Customer Content infringes the intellectual property rights of a third party.

15. Term and Termination

These Terms remain in effect until your subscription expires or is terminated. You may cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases, and we may delete your Customer Content after a standard retention period.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable) to the extent such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or failure of internet or telecommunications networks.

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be exclusively resolved in the competent courts of Vilnius, Lithuania.

18. Entire Agreement; Order of Precedence

These Terms, along with any order forms or executed service agreements, constitute the entire agreement between you and Dėžutė, UAB regarding the Service and supersede all prior agreements and understandings. In the event of a conflict between these Terms and a separately executed written agreement, the terms of the specific written agreement shall prevail.
